Agreement to Terms

A quote becomes a binding agreement only when a formal order is placed, a deposit is received, and production is confirmed in writing by Western Building Supply. Pricing displayed on this website is for general informational purposes only and may not reflect current market prices.

Submitting a quote request through the Site does not create a contractual obligation on either party. Quote form data is used solely to prepare your estimate and maintain our business relationship, and submission does not guarantee product availability, pricing, or delivery timelines.

Material prices in the construction industry are subject to fluctuation due to market conditions, tariffs, trade policies, supply chain disruptions, and other factors beyond our control. Western reserves the right to adjust pricing on unconfirmed orders to reflect current material costs. Any confirmed order pricing is governed by the terms of that specific order agreement.

Force Majeure

Western shall not be liable for any failure or delay in fulfilling obligations — including but not limited to delivery timelines, product availability, or order fulfillment — caused by events beyond our reasonable control. Such events include, but are not limited to: natural disasters, severe weather, fire, flood, earthquake, pandemic, epidemic, government actions, tariffs, trade restrictions, sanctions, embargoes, labor disputes, strikes, transportation disruptions, supply chain interruptions, material shortages, supplier defaults, utility failures, acts of war, terrorism, civil unrest, or any other event that could not have been reasonably foreseen or prevented.

In the event of a force majeure occurrence, Western will make commercially reasonable efforts to notify affected customers and resume performance as soon as practicable. Delivery dates and timelines provided are estimates only and are not guaranteed.

Product Information and Technical Specifications

We make reasonable efforts to ensure that product descriptions, specifications, and images on this website are accurate. However:

Product Warranties

Western Building Supply manufactures certain products (including trusses, steel roofing, steel siding, and laminated columns) and distributes products from third-party manufacturers.

Manufactured Products: Warranties on products manufactured by Western are governed solely by the specific written warranty documentation provided with your order. No information on this website — including product descriptions, marketing materials, or specifications — constitutes or modifies any product warranty.

Third-Party Products: Products manufactured by third parties (including but not limited to Versetta Stone, Diamond Kote, Gerkin Windows, and Midwest Perma-Column) are covered exclusively by the warranties provided by their respective manufacturers. Western makes no independent warranty regarding third-party products beyond what is expressly provided by the manufacturer. Claims under third-party warranties must be directed to the applicable manufacturer in accordance with their warranty terms.

No Additional Warranties: Except as expressly set forth in a separate written warranty agreement, all products are provided “as is.” To the fullest extent permitted by applicable law, Western disclaims all other warranties, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Delivery Tracking and GPS Data

Western may provide delivery tracking through the Site as a convenience to customers. Tracking information, including GPS location data, estimated arrival times, and delivery status updates, is provided on an “as is” basis and may not be fully accurate or current at all times.

Dispute Resolution

Informal Resolution: Before initiating any formal dispute proceeding, you agree to first contact Western Building Supply in writing at sales@wbswyo.com to attempt to resolve the dispute informally. Western will make good-faith efforts to resolve your concern within thirty (30) days of receiving your written notice.

Binding Arbitration: If a dispute cannot be resolved informally, you and Western agree that any claim or controversy arising from or relating to these Terms, the Site, or any products or services provided by Western shall be resolved through binding arbitration administered in accordance with the rules of the American Arbitration Association. Arbitration shall take place in Platte County, Wyoming. The arbitrator’s decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Class Action Waiver: You and Western agree that any dispute resolution proceedings will be conducted only on an individual basis and not as part of a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against Western Building Supply.

Exceptions: Either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights or other irreparable harm.

To the extent any dispute is not subject to the arbitration provision above, you agree to submit to the exclusive jurisdiction of the state and federal courts located in or serving Platte County, Wyoming.

Severability

If any provision of these Terms is found by a court or arbitrator of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, severed from these Terms. The remaining provisions shall continue in full force and effect.

Waiver

The failure of Western to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by Western.

Entire Agreement

These Terms, together with our Privacy Policy and any separate written agreements for specific orders or services, constitute the entire agreement between you and Western Building Supply regarding your use of the Site. In the event of a conflict between these Terms and a specific written order agreement, the order agreement shall control with respect to that order.

Changes to Terms

We may update these Terms of Service at any time. Changes will be posted on this page with an updated “Last updated” date. Your continued use of the Site after changes are posted constitutes your acceptance of the revised Terms. For material changes, we will make reasonable efforts to provide notice through the Site.
